IntraLinks, a leading provider of critical information exchange solutions, today announced that it has filed a registration statement with the Securities and Exchange Commission relating to a proposed initial public offering of its common stock.

The number of shares to be offered and the price range for the offering have not yet been determined.

Morgan Stanley & Co. Incorporated, Deutsche Bank Securities Inc. and Credit Suisse Securities (USA) LLC will act as joint book-runners for the offering. Jefferies & Company, Inc. will act as lead manager. Lazard Capital Markets LLC, Pacific Crest Securities LLC and Thomas Weisel Partners LLC, will act as co-managers.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission, but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
